These Website Terms of Use ("Terms") govern your access to and use of https://www.hondiuscapital.com and any related pages (the "Website") operated by Hondius Capital Management, LP ("Hondius," "we," "us" or "our"). By accessing or using the Website, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Website. You must be at least 18 years old to use the Website.

2. About Hondius

Hondius is an investment adviser registered with the U.S. Securities and Exchange Commission ("SEC") (CRD #297991; SEC File No. 801-116871). Hondius is also registered with the U.S. Commodity Futures Trading Commission ("CFTC") as a commodity pool operator and is a member of the National Futures Association ("NFA"). Registration with the SEC or CFTC does not imply a certain level of skill or training. Hondius provides discretionary investment advisory services to private investment funds and separately managed accounts (together, the "Funds"). Hondius's clients are the Funds, not investors in the Funds or visitors to the Website. Information about Hondius, including its Form ADV, is available on the SEC's Investment Adviser Public Disclosure website at https://adviserinfo.sec.gov and on the NFA's BASIC system at https://www.nfa.futures.org/BasicNet.

3. No Offer, Solicitation or Advice

The Website is provided for general informational purposes only. Nothing on the Website is an offer to sell, or a solicitation of an offer to buy, any interest in a Fund or any other security, and nothing on the Website is legal, tax, accounting or investment advice or a recommendation of any security or strategy. Interests in the Funds are offered only through a Fund's confidential offering memorandum and related governing and subscription documents, only to persons who meet applicable eligibility requirements (such as accredited investor, qualified purchaser or qualified client status), and only in jurisdictions where the offer is lawful. Interests in the Funds are not registered under the Securities Act of 1933 and the Funds are not registered under the Investment Company Act of 1940.

4. Affiliated Companies

The Website may reference products or services offered by companies affiliated with Hondius, including a registered broker-dealer and other businesses under common control with Hondius. Those products and services are offered by the affiliate, not by Hondius, unless otherwise stated, and may be subject to separate terms and disclosures. Affiliate relationships may create conflicts of interest, which are described in Hondius's Form ADV Part 2A.

  • use the Website in violation of any law or regulation;

The Website may contain links to third-party websites, including SEC and NFA resources. These links are provided for convenience only. Hondius does not control and is not responsible for the content, privacy practices or availability of third-party websites.

8. Disclaimer of Warranties

THE WEBSITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Limitation of Liability

You agree to indemnify and hold harmless Hondius and its affiliates, officers, employees and agents from any claims, losses and expenses (including reasonable attorneys' fees) arising from your violation of these Terms or your misuse of the Website.

11. Electronic Communications

By using the Website or communicating with us electronically, you consent to receive communications, notices and disclosures from us electronically. Email is not a secure means of communication, and you should not send confidential information (such as account or Social Security numbers) by unencrypted email. Hondius may review, retain and produce electronic communications as required by the Investment Advisers Act of 1940, the Commodity Exchange Act and other applicable laws and regulations.

12. Governing Law and Venue

These Terms are governed by the laws of the State of Connecticut, without regard to conflict of law principles. Any dispute arising out of these Terms or the Website will be brought exclusively in the state or federal courts located in Connecticut, except that any dispute subject to a Fund's governing documents or to a separate written agreement between you and Hondius will be resolved as provided in those documents or that agreement.

13. Changes to These Terms

We may update these Terms at any time by posting a revised version on the Website with a new effective date. Your continued use of the Website after changes are posted means you accept the revised Terms.
